What an OTC desk does differently
An exchange matches your order against whoever is on the book at that second; a large order walks through the book and moves the price against you. An OTC desk quotes you one all-in price for the whole ticket, sources the coins across several venues, and settles privately — nothing prints on a public order book. For a $250,000 CAD bitcoin purchase, that difference is typically worth more than the desk's spread.
Desks differ far more than exchanges do. Some are the OTC arm of a custodial exchange, some are broker-dealers, some are independent MSBs. Minimums run from $25,000 CAD to $1M CAD, settlement from minutes to days, and the biggest variable — whether the desk holds your coins after the trade — is rarely stated up front.
The seven things to compare
Registration. FINTRAC MSB at minimum; Revenu Québec if you are in Québec. Custody. Does the desk settle to your wallet or to an account it controls? Quote type. Firm two-way quotes with a stated validity beat "indicative" quotes that move after you say yes. Pricing. A single spread on a named reference mid, versus a spread plus fees plus "network costs" added later.
Settlement window. Same-day CAD or same-day on-chain, or T+1/T+2. Fiat rails. Wire only, or Interac e-Transfer and EFT too; USD wires if you need them. Coverage. Desk hours, a named contact, and who answers at 16:55 PT on a Friday.

Which one suits you
If you trade actively and want coins on the exchange for the next order, an exchange OTC arm is convenient — accept the custody risk knowingly. If you need securities-style documentation for a fund or an audit, a broker-dealer desk earns its higher minimum and slower settlement. A firm quote is binding on the desk for its validity window (60–120 seconds at TokenNest). Outside that window, or if compliance checks fail, the desk can decline. A desk that re-quotes after you accept is not giving firm quotes.
