1. Who we are and what these terms cover
These Terms govern your use of the TokenNest website, platform, OTC desk, payment gateway, on-ramp API and cross-border payment services (the "Services") provided by TokenNest Inc., a money services business registered with FINTRAC and licensed by Revenu Québec. By opening an account or using any Service you agree to these Terms, our Privacy Policy, our AML/KYC Policy and our Risk Disclosure. If you use the Services on behalf of a business, you confirm you are authorised to bind it.
2. Eligibility and account
You must be 18 or older and resident in Canada (or a Canadian-incorporated business with a Canadian bank account). You must complete identity verification before your first transaction and keep your information current. One account per person or entity. You are responsible for the security of your login credentials and for every action taken through your account. We may refuse, suspend or close an account where required by law, where verification cannot be completed, or where we reasonably suspect fraud or misuse.
3. How the Services work
TokenNest sells and buys virtual currency at a price quoted to you before you confirm; the quoted price is the price you pay, inclusive of our spread. Purchases are delivered to the wallet address you provide; sales are settled to the bank account you provide. We are non-custodial: once a transfer to your wallet is confirmed on-chain, TokenNest has no control over the asset and cannot reverse, freeze or recover it. You are solely responsible for the accuracy of wallet addresses and network selection, and for the security of your wallet and keys. Cross-border payments are executed to payees you designate; you confirm you have the right to make each payment and that it is not for a prohibited purpose.
4. Fees, limits and settlement
Fees and spreads are shown on the Fees page and in each quote before you confirm. Limits — per transaction, per account, and per Interac e-Transfer — are set at onboarding and may be adjusted with additional verification. Settlement times published on the site are targets, not guarantees; they depend on bank processing, network congestion and compliance review. Where a transaction cannot be completed, funds received are returned to the originating account, less any third-party costs actually incurred.
5. Prohibited use
You may not use the Services for any unlawful purpose; for or on behalf of a person or jurisdiction subject to Canadian sanctions; to launder money or finance terrorism; to send funds to a wallet you do not control on the instruction of a third party you cannot verify; to evade tax; or to operate an unregistered money services business. We monitor transactions as the law requires and may delay, decline or report a transaction without notice where we are obliged to.
6. Liability and disputes
The Services are provided as described; we do not guarantee uninterrupted availability or that any virtual currency will hold its value. To the extent permitted by law, TokenNest's total liability for any claim is limited to the fees paid by you for the transaction giving rise to the claim, and we are not liable for losses caused by your wallet, your network selection, third-party services, or market movements. Nothing in these Terms limits rights you have under consumer-protection law in your province, including Québec's Consumer Protection Act. Complaints follow our published Complaints process; unresolved disputes are governed by the laws of British Columbia and the federal laws of Canada, and for Québec residents the laws of Québec.
7. Changes and contact
We may update these Terms; material changes are posted on this page with a new effective date and notified to account holders by email at least 30 days before they take effect.
